第一章 总则

Chapter I General Principles


第一条 联盟介绍

Article 1 Establishment of BRPCA

“一带一路药学合作联盟”（Belt and Road Pharmacy Cooperation Alliance）是由多家在医药健康领域拥有共同愿景与战略目标的高校、社会团体、研究机构和企业自愿组成的国际性、专业性、非营利性联盟。该联盟由中国药科大学发起创立，于2024年5月16日-5月18日在南京召开的第二届“一带一路”药学国际产学研用合作论坛上宣布成立。

The "Belt and Road Pharmacy Cooperation Alliance" is an international, professional, and non-profit alliance voluntarily formed by universities, social organizations, research institutions, and enterprises that share a common vision and strategic objectives in the field of medicine and health. Initiated and established by China Pharmaceutical University (hereinafter referred to as CPU), the alliance was officially launched during the 2nd Belt and Road International Conference on Cooperation and Integration of Pharmaceutical Industry, Education, Research and Application, held in Nanjing from May 16 to May 18, 2024.

第二条 联盟宗旨

Article 2 Purpose

本着开放共享、互学互鉴、 创新发展、合作共赢的原则，在联盟内部建立起长期的互惠、互利的合作关系。凝聚“一带一路”国际共识积极推动药学产业在一带一路沿线国家和地区的合作和发展，鼓励成员间的技术转移和创新合作；建立和完善学术交流与合作机制，推动药学领域的前沿科研成果的共享与交流，鼓励联合科研项目的开展；促进科技成果的转化和应用，加强产学研合作和技术转移，为“一带一路”沿线国家和地区的药品研发与创新发挥作用；培养适应国际化药学需求的高级专业人才，共同提高药学国际教育水平。

Guided by the principles of openness, mutual learning, innovative development, and win-win cooperation, the alliance establishes long-term reciprocal and mutually beneficial relationships within its membership. It seeks to build international consensus along the "Belt and Road" and actively promotes cooperation and development of the pharmaceutical industry in countries and regions along the route. It encourages technology transfer and innovative collaboration among members; establishes and enhances mechanisms for academic exchange and cooperation, advancing the sharing and communication of cutting-edge pharmaceutical research achievements; and encourages the initiation of joint research projects. The alliance also promotes the transformation and application of scientific and technological achievements, strengthens collaboration between industry, academia, and research, and facilitates technology transfer, thereby playing a role in pharmaceutical research and innovation in countries and regions along the "Belt and Road". Additionally, it focuses on cultivating high-level professional talent suited to the international demands of pharmacy, collectively enhancing the level of international pharmaceutical education.


第二章 组织机构及职责

Chapter II Organizational Structure and Obligations


第三条 联盟的组织架构

Article 3 Organizational Structure  

（一）联盟采用轮值主席制，轮值期内由一所成员单位任联盟主席单位，主持联盟工作。每届主席单位轮值期为3年，各成员单位轮流担任。首届主席单位是中国药科大学。

(1) BRPCA adopts a rotating chairmanship system, where a member institution serves as the chairing entity and oversees the operations of the alliance during its term. Each chairmanship term lasts for three years, with member institutions taking turns in rotation. The inaugural chair of the alliance is China Pharmaceutical University.

（二）联盟全体成员大会是最高决策机构，原则上每三年召开一次。

(2) The General Assembly of BRPCA is the highest decision-making body, which, in principle, convenes once every three years.

（三）全体成员大会由主席监管。全体成员大会的主席通常由本届轮值主席单位的校长/院长担任。

(3) The General Assembly of all members is overseen by the Chairperson. The Chairperson of the General Assembly is typically held by the President/Dean of the institution serving as the current rotating chair.

（四）除非另有说明，联盟的决议均由全体成员大会的成员以简单多数票方式投票表决。

(4) Unless otherwise specified, resolutions of the alliance are voted on by the members of the General Assembly using a simple majority vote.

（五）在联盟全体成员大会休会期间，联盟的领导职能由联盟秘书处执行。

（5）During the recess of the General Assembly of all members, the leadership functions of the alliance are carried out by the Secretariat of the Alliance.


第四条 联盟全体成员大会

Article 4 General Assembly of BRPCA

  1. 联盟成员大学的校长或授权代表是联盟全体成员大会的常务委员。大会主席来自主席单位。

  1. The presidents of the member universities or their authorized representatives serve as the standing committee members of the General Assembly of the alliance. The chairperson of the assembly comes from the institution holding the chairmanship.

  1. 在通过联盟全体成员大会的各项决议时，每名大会委员享有一票表决权。

  1. When passing resolutions at the General Assembly of all members, each assembly member has one vote.

  1. 大会主席一届任期3年。首任大会主席由创始高校的校长担任。

  1. The chairperson of the General Assembly shall be rotated for a term of three years. The first chairperson shall be served by the president of the founding university.


第五条 联盟全体成员大会的职责

Article 5 Obligations

  1. 决定联盟的主要战略目标

  1. Decide major strategic goals of BRPCA

  1. 审议、修订以及通过联盟章程和规章制度，以及任何政策声明或立场

  1. Validate, revise, and decide the charter and regulations of BRPCA, and indicate any policy statements or positions

  1. 选举并通过联盟的主席单位

  1. Elect and decide the chair institution of BRPCA

  1. 接受并表决新的成员申请

  1. Accept and decide new members


第六条 联盟全体成员大会主席的职责

Article 6 Obligations for the Chairperson of BRPCA

  1. 召集和主持大会

  1. Convene and preside over the general assembly

  1. 提议并要求在正常日程表之外召开额外的全体成员大会

  1. Propose and request additional general assembly expect the normal schedule

  1. 提名秘书处的秘书长、副秘书长

  1. Nominate the secretary general and deputy secretary general of the secretariat

  1. 指导秘书处的日常管理和运作

  1. Guide the daily management and operation of the secretariat


第七条 秘书处

Article 7 The Secretariat

  1. 联盟秘书处设在中国药科大学，日常运行费用由中国药科大学负责筹集。秘书处秘书长、副秘书长外的其他成员由各创始成员单位选派的代表组成，其中每个成员单位委派1名代表，该代表负责其所在单位在联盟的日常工作。中国药科大学在秘书处设常驻工作人员，固定负责联盟工作。

  1. CPU houses the secretariat and is responsible for funding day-to-day operations. A representative chosen by each founding member institution makes up the other members of the secretariat, in addition to the secretary general and deputy secretary general. Each member institution appoints a single representative who oversees the day-to-day operations of their institution within BRPCA. CPU will have permanent staff at the secretariat, dedicated to the work of the alliance on a regular basis.

  1. 秘书处由秘书长、副秘书长和各成员代表共同管理。秘书长和副秘书长一般来自主席单位，由全体成员大会主席提名，任期3年。秘书处的所有成员代表任期3年。

  1. The secretariat is jointly managed by the secretary general, the deputy secretary general, and the representatives of members. The secretary general and deputy secretary general usually come from the chairman institution and are nominated by the chairman of the general assembly for a term of three years. Also, all member university representatives in the secretariat serve a term of three years.

  1. 秘书处成员每年召开一次会议，经大会主席批准后可召开额外的会议。额外召开的会议可以通过现场出席或电话会议的形式召开。经秘书处成员简单多数票通过的决议是有效的。

  1. The members of the secretariat shall convene a meeting once a year and may hold additional meetings with the approval of the chairperson of the general assembly. Additional meetings may be convened by live attendance or by teleconference. Resolutions passed by a simple majority of the secretariat members are valid.

  1. 每所成员单位指定1名通讯员，负责该校在联盟内的所有联络事宜。

  1. Each member institution appoints a correspondent who is responsible for all liaison matters of the institution within BRPCA.


第八条 秘书处职责

Article 8 Obligations of Secretariat

  1. 起草文件。起草联盟发展规划、管理制度、年度工作报告和总结等。

  1. Drafting documents. The secretariat shall draft development plan, management system, annual work reports and summaries, and so on.

  1. 项目管理。根据联盟发展需求，起草并发布项目指南、组织申报、过程管理、成果登记等。

  1. Project management. According to the development of BRPCA, the secretariat shall draft and issue project guidelines, organize applications, manage processes, and register results according to the developmental needs of the alliance.

  1. 内外联络。负责单位之间的联系，开展联盟与其他组织和机构的联络工作。

  1. Internal and external liaison. The secretariat shall be responsible for contacting member institutions, other organizations and institutions.  

  1. 日常工作。包括筹备联盟各类会议、文件、资料和档案，建设和维护联盟网站，组织并负责联盟的整体宣传等。

  1. Conducting Daily work. The secretariat shall prepare various BRPCA meetings, documents, materials, and archives, building and maintaining the alliance website, and organizing and managing the overall promotion of BRPCA.

  1. 在全体成员大会休会期间负领导责任。

  1. Assuming leadership responsibilities during the recess of the general assembly of all members.

  1. 受理入盟申请。

  1. Receiving applications for membership.


第九条 联盟秘书处秘书长的工作职责。

Article 9 Obligations of the Secretary General.

  1. 召集和主持联盟秘书处全体会议。

  1. Convening and presiding over the plenary meeting of the secretariat of BRPCA.

  1. 必要时召集并主持额外的秘书处会议。

  1. Convening and presiding over additional meetings of the Secretariat when necessary.

  1. 领导联盟秘书处工作。

  1. Directing the work of the secretariat.


第十条 联盟秘书处副秘书长的工作职责

Article 10 Obligations of the Deputy Secretary General.

  1. 管理联盟秘书处,处理联盟全体成员大会和秘书处的日常事务。

  1. Managing the secretariat of BRPCA, handle the daily affairs of the general assembly of all members of the alliance and the secretariat.

  1. 执行经全体成员大会通过的联盟工作计划和运行方案。

  1. Implementing the alliance work plan and operation schemes approved by the general assembly of all members.


第十一条 联盟秘书处成员代表的工作职责

Article 11 Obligations of representatives of BRPCA members.

  1. 参加联盟秘书处会议，并在其所在成员大学内实施联盟的工作计划。

  1. Participating in the meetings of the secretariat of BRPCA and implementing work plan within its member institutions.

  1. 发布和协调其所在成员机构的联盟项目。

  1. Publishing and coordinating alliance projects in its member institutions.

  1. 发掘资源，丰富联盟各项活动，促进联盟的未来发展。

  1. Exploring resources to enrich the activities and to promoting the future development of BRPCA.

  1. 向联盟秘书处提出活动建议。

  1. Proposing activities to the secretariat of BRPCA.


第三章 联盟成员的资格、权利与义务

Chapter III Eligibility, Rights and Obligations of Member Institutions


第十二条 加入联盟秉承自愿原则，并且不会影响各成员大学的自主权，包括其与任何第三方机构签订双边或多边协议的权利。

Article 12: Membership is voluntary and does not affect the autonomy of the member institutions, including their right to enter into bilateral or multilateral agreements with any third-party organization.


第十三条 联盟面向所有赞同本章程并且赞同联盟宗旨和目标的药学相关高校、科研机构、社会组织和企业开放。

Article 13: BRPCA is open to all pharmacy-related universities, research institutions, social organizations, and enterprises that agree with this charter and support the purposes and objectives of the alliance.


第十四条 联盟成员资格是通过向秘书处提出申请而产生的。申请加入联盟的单位需向秘书处提交《入盟申请表》，秘书处初审后，经大会批准，方可正式成为联盟成员。秘书处对新增成员单位进行备案，通报其他成员单位。

Article 14: Membership in the BRPCA is obtained by submitting an application to the secretariat. Institutions wishing to join the alliance must submit a “Membership Application Form” to the secretariat. After preliminary review by the secretariat, approval by the general assembly is required before officially becoming a member of the alliance. The secretariat records the new member institutions and notifies other member institutions accordingly.

第十五条 成员单位退出时，须提前三个月向秘书处发出书面退出意向书，经批准后，取消其成员资格。退出联盟的成员单位两年内不得重新申请加入联盟。

Article 15: A member institution of BRPCA may only withdraw by submitting a formal letter of intent to the secretariat three months in advance, and membership will be terminated upon approval. Institutions that withdraw from the alliance may not reapply for membership within two years.

第十六条 秘书处有权移除不活跃的联盟成员。再次申请加入的申请单位需要重新履行各项程序。

Article 16: The secretariat has the authority to remove inactive members of the alliance. Institutions reapplying for membership must go through all the required procedures again.

第十七条 加入联盟意味着对《联盟章程》所设想的合作精神的承诺。

Article 17: Joining the alliance signifies a commitment to the spirit of cooperation envisioned in the BRPCA Charter.

第十八条 任何其他成员大学均无强加的义务位为联盟提供资金支持。

Article 18: No other member institution has an obligatory duty to provide financial support to the BRPCA.


第四章 法律地位

Chapter III Legal Status


第十九条 本联盟是一个自愿参加的全球教育共同体。成员之间为建立共同研究、不披露或保密或保护知识产权所需的任何法律关系，将在商定的法律管辖范围内行成单独的法律协议。

Article 19: BRPCA is an international voluntary education community. Separate legal agreements within agreed-upon legal jurisdiction shall regulate any legal connection between members that is necessary to create cooperative research, non-disclosure, secrecy, or intellectual property rights protection.


第二十条 本章程不会使各成员间建立合伙、代理、合资企业或任何其他形式的法律关系，任何成员不对其它成员的债务或义务负责，未经授权也不能代表其它成员。

Article 20: This chapter does not establish a partnership, agency, joint venture, or any other type of legal connection between members. Neither will any member be responsible for the debts or liabilities of another member, nor may it act without permission on that member's behalf.


第五章 附则

Chapter V Miscellaneous Provisions


第二十一条 本章程未详尽事宜，各方按照相关法律和国际惯例，秉承公平互利的原则提议，由秘书处组织修订和批准。

Article 21: For the matters not addressed in this Charter, the Secretariat shall organize the amendment and approval of the Charter based on the proposals made by BRPCA members in accordance with relevant laws and international practices and in the principle of fairness and mutual benefit.


第二十二条 本章程以中、英两种文字制作，中、英文本表述如有冲突，以中文版本为准。

Article 22: This chapter is made in both Chinese and English. For all conflicts and disputes arising from the Chinese and English versions, the Chinese version shall prevail.


第二十三条 本章程自联盟成立大会审议通过之日起生效。

Article 23: This charter shall come into effect from the date of its approval at the founding assembly of BRPCA.
